Terms & Conditions

1. Company Information

BasedUGC is a product of General Automation Labs Pty Ltd (ACN: [to be inserted]), a company incorporated in New South Wales, Australia, with its registered address at 20–40 Meagher St, Chippendale NSW 2008, Australia ("we", "us", or "Company").

2. Services

General Automation Labs Pty Ltd offers clients ("Clients") AI-powered video creation and ad generation services through the BasedUGC platform, available at basedugc.ai (the "Platform") and via its API (the "API"). Services include:

  • Standard Plans — subscription tiers described on the Platform.
  • Custom Plans — negotiated enterprise arrangements.

API access is available on Custom Plans only.

3. These Terms

Purpose

These Terms & Conditions ("Terms") govern the contractual relationship between General Automation Labs Pty Ltd and the Client, including the terms of use of the Services and the obligations of each party.

Acceptance

By registering for an account or accessing the Platform, the Client accepts these Terms in full. If the Client does not accept these Terms, they may not access the Services.

Updates

We may update these Terms from time to time. We will provide at least 10 calendar days' notice of material changes by email or platform notification. Continued use after that date constitutes acceptance.

4. Payment Processing

All payments are processed by our payment service provider (Stripe). By subscribing, Clients also agree to Stripe's terms of service. If Stripe rejects or terminates a Client's subscription, the Client may not use the paid Services. General Automation Labs Pty Ltd instructs Stripe on your behalf for all Platform payments.

5. Eligibility

To access the Services you must:

  • Be at least 18 years of age.
  • Be a business or professional acting within the scope of a commercial, industrial, or professional activity — or an authorised representative of such an entity.
  • Have the legal capacity to enter into a binding contract.

6. Technical Requirements

You need a modern web browser (Chrome, Firefox, Safari, or Edge), a stable internet connection, and a device capable of streaming video.

7. Subscriptions & Access

Services are accessed on a subscription basis (the "Subscription"). Each Subscription includes a monthly credit allowance where one credit typically corresponds to one AI-generated video (exact credit costs are listed on the Platform).

7.1 Standard Plans

Choose a plan directly on the Platform. Upgrade or downgrade at any time subject to clause 10.

7.2 Custom Plans

Contact us at daniel@sellable.pro to discuss a custom plan. A written summary will be provided before payment. Payment constitutes full acceptance of the Custom Plan terms.

7.3 Workspace

Payment opens a Workspace enabling access to the Platform. The account owner acts as administrator and may invite team members up to the limit in the subscribed plan. Each Workspace requires a separate Subscription.

8. Services Description

8.1 AI Video Generation

The Platform allows Clients to generate videos ("Videos") using:

  • Our library of licensed AI actors and video models ("AI Actors").
  • Client-uploaded videos or product images ("Client Content").
  • Text prompts and scripts ("Prompts").

Generation tools include lip-sync, voice cloning, background removal, captions, translation, emotion control, and more as listed on the Platform.

8.2 Video Editing

Clients may edit generated Videos within permitted uses (see clause 13). Modifications not listed require written approval from us.

8.3 Additional Tools

We may offer additional tools or integrations from time to time at our discretion.

9. Maintenance, Hosting & Support

9.1 Maintenance

We provide corrective and ongoing maintenance. During maintenance windows, Platform access may be temporarily limited. We will endeavour to give advance notice of planned downtime.

9.2 Hosting

The Platform and associated data are hosted on professional cloud infrastructure. We use commercially reasonable efforts to ensure availability.

9.3 Technical Support

Support is available via the Platform or by emailing daniel@sellable.pro, Monday to Friday 9am–6pm AEST, excluding Australian public holidays.

10. Modifying Your Plan

Upgrades take effect immediately; unused credits from the previous period carry over.Downgrades take effect at the next renewal date; unused credits are forfeited and not refunded.

11. Subscription Duration

Subscriptions start on the date of payment and automatically renew for successive periods of the same duration unless cancelled in accordance with clause 23.

12. Pricing & Payment

12.1 Pricing

Prices are listed in USD on the Platform unless otherwise stated. All prices are exclusive of taxes. Applicable taxes (including GST where required) will be calculated and displayed at checkout via Stripe Tax. The Client is responsible for all applicable taxes in their jurisdiction.

12.2 Invoicing

Invoices are issued electronically each billing period. Payment is by credit/debit card via Stripe or by bank transfer as specified on invoices.

12.3 Overages

Standard Plan Clients who exceed their credit allowance must wait for renewal or upgrade. Custom Plan Clients will be invoiced for additional credits at rates specified in their plan summary.

12.4 Late Payment

In the event of non-payment, we may immediately suspend Services. Interest on overdue amounts accrues at 10% per annum from the due date. Unused credits are not refunded upon termination or downgrade.

13. Intellectual Property

13.1 Platform

All intellectual property in the Platform, including software, infrastructure, databases, AI models, and content, is owned by General Automation Labs Pty Ltd. Clients receive a limited, non-exclusive, non-transferable licence to use the Platform for the duration of their Subscription.

13.2 AI Actors & Video Models

We hold the necessary rights to use AI Actors on the Platform. Clients must not extract, reproduce, or repurpose AI Actors outside permitted uses. Breach of this clause may attract a lump-sum indemnity of AUD 500,000 per breach, without limiting other remedies.

13.3 Generated Videos

Subject to these Terms, we grant Clients a worldwide, non-exclusive licence to use generated Videos for the duration of applicable intellectual property rights. The licence includes the right to reproduce, distribute, publicly display, and modify Videos (limited to: cropping, adding music, text, subtitles, emojis, B-rolls, GIFs, sound effects, format changes, and adding your brand name and logo).

The licence does not permit use of Videos to:

  • Commit or encourage criminal offences or dangerous activities.
  • Spread harmful misinformation or incite hatred or discrimination.
  • Harass, intimidate, or defame any person.
  • Create pornographic, obscene, or sexually explicit content.
  • Violate platform advertising policies (Meta, TikTok, Google, etc.).
  • Create a competing AI video generation business.
  • Use as training data for other AI or machine-learning systems.
  • Engage in misleading or deceptive conduct under the Australian Consumer Law.

13.4 Client Content

Scripts, Prompts, Client Videos, and other materials supplied by the Client ("Client Content") remain Client property. The Client grants us a worldwide, royalty-free licence to use Client Content to provide the Services and improve our AI models.

The Client warrants that Client Content does not infringe third-party rights and indemnifies General Automation Labs Pty Ltd against any claims arising from Client Content.

14. Testimonials & Commercial References

By subscribing, Clients consent to us displaying their testimonials on the Platform and related marketing materials. Both parties may reference each other as commercial partners during and for 3 years after the contractual relationship.

15. Client Obligations

Clients must:

  • Provide accurate registration information and keep it up to date.
  • Keep login credentials confidential and notify us immediately of any unauthorised access.
  • Ensure all Users comply with these Terms.
  • Use the Services only for lawful purposes.
  • Not circumvent any technical or access controls on the Platform.
  • Not exceed 40 API requests per second (Custom Plan API users).
  • Not use the Platform for high-risk AI applications as defined under any applicable AI regulation.

Clients indemnify General Automation Labs Pty Ltd (including legal costs on a solicitor-client basis) against all claims arising from Client breach of these Terms.

16. Our Obligations & Liability

We will provide the Services with reasonable care and skill. We do not guarantee that the Platform will be error-free or uninterrupted. We are not liable for disruptions caused by events outside our reasonable control (including internet outages, third-party service failures, or force majeure).

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms is limited to the amounts paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Nothing limits rights under the Australian Consumer Law that cannot be excluded by contract.

17. Privacy

We handle personal data in accordance with our Privacy Policy and the Privacy Act 1988 (Cth) and the Australian Privacy Principles. By using the Platform, you consent to our collection and use of personal data as described in the Privacy Policy.

18. Confidentiality

Each party agrees to keep confidential all non-public information obtained from the other in connection with these Terms, both during the relationship and for 3 years afterwards. This does not apply to information that is publicly available, independently known, or required to be disclosed by law.

19. Force Majeure

Neither party is liable for failure or delay caused by circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or internet infrastructure failures. If a force majeure event lasts more than 30 business days, either party may terminate by written notice.

20. Cancellation & Termination

Clients may cancel their Subscription at any time via the Platform. Cancellation takes effect at the end of the current billing period. No refunds are issued for the current period.

We may terminate immediately (without notice or refund) for: non-payment, material breach, illegal activity, or provision of false information.

Upon termination, Workspace access ceases and data may be deleted after a 30-day grace period.

21. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution in good faith within 30 days of written notice. If unresolved, disputes will be referred to mediation under the Australian Centre for International Commercial Arbitration rules before any court proceedings.

22. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.

23. General

  • Entire agreement. These Terms constitute the entire agreement between the parties regarding the Services and supersede all prior representations.
  • Severability. If any provision is unenforceable, the remaining provisions continue in full force.
  • Waiver. Failure to enforce any provision does not waive future enforcement.
  • Assignment. We may assign our rights to a successor entity. Clients may not assign without our written consent.
  • Language. These Terms are in English. English shall prevail in any dispute about interpretation.
